Legal Affairs Manager – Corporate

Reports To: SVP - Legal Affairs


Responsibilities:


· Developing and leading corporate legal strategy to promote and protect the company's matters;


· Ensure the legality of commercial transactions, advising the higher management on their legal rights and duties, including the duties and responsibilities of corporate officers


· Reviews, drafts and negotiates agreements, consulting agreements, special licensing, non-disclosure agreements, terms and amendments for customers, mainly in English, sometimes in Arabic;


· Drafts, amends, manages, responds to, or analyses the MOAs of the Group and its amendments as needed;


· Developing and leading corporate compliance programs;


· Drives contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manages contract change control process and related correspondence requiring legal input;


· Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities;


· Participating in the formulation of general management policy as a member of the legal team;


· Identifies business objectives of direct sales / rent / construction / licensing / consulting transactions, capital markets, related issues, and facilitates risk/benefit analysis;


· Drafts, manages, distributes, responds to, or analyses Requests for Information (RFIs), Request for Quotation (RFPs), Request for Quotation (RFQs), Request for Tender (RFT) or customer terms & conditions as needed;


· Maintains a deep understanding of the Group contract templates, contracts policy, legal risk and liability, and company position on various matters;


· Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken;


· Prepares contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations;


· Interprets contracts and advises sales/ rent/ construction / consulting managers on contractual responsibilities;


· Translates complex commercial/legal scenarios into simple language and action plans;


· At settlement, will engage in negotiations with opposing parties; participate in mediations and settlement conferences with the parties; and create settlement brochures, agreements, releases and other settlement materials.


· Demonstrate knowledge of, and experience with, laws dealing with government and/or non-government entity, particularly disputes negotiation, preparation and administration;


· Ability to provide independent advice (orally and in writing) to top level management on highly technical matters;


· Formulate check-lists to be used for the purpose of ensuring that all information required is provided accordingly and on time;


· Provide and interpret legal information, conduct and disseminate appropriate legal requirements to staff;


· Conduct the appropriate discussion with AHG’s clients about any unclear points and answering their questions;


· Proofreading and editing final translated versions;


· Complete many routine tasks and assist with legal work, including research, court filings and AHRED’s client communication;


· Advising the Senior Management on a variety of issues;


· May mentor and train less experienced contract professionals;


· Supports the Group Regional / Vertical Lawyers on sales-related projects;


· Requires a thorough knowledge of the organization's products/services;


· Requires a bachelor's/master's degree and at least eight (8) years in the field;


· Familiar with standard concepts, practices, and procedures within real estate/construction field;


· Relies on experience and judgment to plan and accomplish goals;


· Performs a variety of tasks. Leads and directs the work of others;


· A certain degree of creativity and latitude is required;


· Typically reports to the SVP Legal Affairs;


· Prepare monthly and quarterly reports for the department for executive management meetings;


· Good planning and organization skills;


· Proven ability to delicately solve sensitive matters.


· Using appropriate software for presentation and delivery;


· Using the internet and email as research tools throughout the legal process;


· Speak, read, and write fluently in English. Any 2nd language would be useful, especially Arabic;


· Manage work schedules to meet deadlines; and


· What may be added to the above at the request of the manager in charge.
