Group Legal Advisor

Role Objective


• The Legal Advisor is responsible to provide the final recommendations for the risk management plans providing key potential areas upon adoption such plan, and clarify in-advance a thorough troubleshooting for each orientation.
• The job holder is responsible to play as the key person in formulating strategies for legal issues; internal consultation, contract reviews, compliance with laws, group-public reputation…etc. that ensure proper utilization of resources with
eliminating the chance of legal risks.
• The job holder is responsible to scan, oversee, monitor, audit and control legal considerations and potential matters that ensure the legal security of the group; assets, reputation, owners and employees rights, furthermore, recommending
actions and constructing best practises among communications, forms…etc.
• The job holder is responsible to facilitate, arrange, record, and collaborate in Senior Management Meetings and other Committee Meetings that ensure corporate knowledge; data and information flow, proper tracking, full capacity and utilization out of meeting and covering the legal side.
• The job holder is responsible to provide day to day legal support and legal consultation to all the Business Units and Service Units in the Group, when and where required.


Detailed Roles and Responsibilities:


Principal Responsibilities:
• Initiate, construct, formulate, draft, required legal documents, and provide legal opinion about existing legal problems or
potential problem.
• Prepare, review, consult, and recommend all drafts and final contracts and or legal documents, agreements ensuring
legality; potential profits, development, consortia, shareholders, confidentiality, exclusivity and participates in
negotiations with concerned parties.
• Recommend and clarify changeable environment how can affect legality of the contacts or decisions; provide trouble
shooting of plan and review all considerations against changeable laws or other circumstances which is critical side against
legality of any.
• Establishment of best practice legal processes throughout the organization; using legal formats for routine contracting,
legal historical or database for proper actions toward repetitive matters, and ready list of frequently-asked-questions, as
appropriate.
• Initiate, create, consult, and solicit with creative legal solutions when facing problems or potential of having problems;
agreements misuse or misunderstanding, improper utilization of a Group property…etc.                      • Coordinate, monitor and maintain the legal files and records when these are entrusted to external legal firms, even to
lawyers for business litigations or sometimes business problems.
• Collaborate associate, and / or consult and / or negotiate proposals with BUs, SUs, clients, partners, or any other
stakeholders in order to ensure that they are lawful and satisfy the requirements of the Group and to ensure that the
negotiation goes on the right side for the Group.
• Handle specific legal issues for the shareholders such as contracts, collections and discipline when required as well as
oversee third-party consultants.
• Assists in providing legal opinion with respect to legality of policies and procedures adopted by the company for Human
Resources, or other operations, as desired and requested.
• Set up the overall Governance Compliance system for newly approved and ongoing companies and projects, and train key
project staff in application of core Compliance methods and data management tools as per the needs of each company
and project.
• Participate and attend investigation when and where required.
• Prepare and send out legal correspondence and notices.
• Advise the management in selection of external legal firms where outsourcing legal services is necessary.
• Provide advice in respect of general commercial matters including but not limited Intellectual Property, distributorship,
franchising, and different financial legal issues.
• Handling the Group business, commercial and employees’ cases and provide proper legal advice on them.


Continuous Improvement:
• Ensure continuous improvements and enhancements to the existing systems and processes to support better reporting
to Group CEO.
• Manage and increase the effectiveness of business units and service units, through effective legal support and
continuous improvements to ensure constant communication within the Group.


People Management:
• Manage direct reports in their day-to-day tasks and guide them in managing their performance by providing appropriate
feedback and counselling.
• Properly allocate work to Employees, conduct performance reviews, plan and manage Employees leave and overtime to
ensure efficiency.
• Ensure that appropriate HR and Business standards of conduct are established and complied with.
• Maintain relationships with government agencies, clients, and other relevant external stakeholders and continually
manage and monitor the same.
